Terms of Service

1. Who we are and what these terms cover
EnergyOn Sim (the "Service") is a software-as-a-service platform for solar PV, battery and generator savings analysis, operated by EnergyOn South Africa Pty Ltd ("EnergyOn", "we", "us"), a company registered in the Republic of South Africa. These Terms of Service (the "Terms") govern your access to and use of the Service at app.energyon.co.za and related websites. By creating an account or using the Service you agree to these Terms on behalf of yourself and, where applicable, the organisation you represent (together, "you" or the "Customer").
2. Accounts and registration
- You must provide accurate, current information when registering and keep it up to date. Accounts are for organisations; the person who registers becomes the workspace owner and may invite additional users within their plan's limits.
- You are responsible for safeguarding login credentials and for all activity under your account. Notify us immediately at hello [at] energyon [dot] co [dot] za of any suspected unauthorised use.
- You must be at least 18 years old and authorised to bind your organisation.
- We may decline, suspend or terminate registrations used for abuse, fraud, or breach of these Terms.
3. Plans, trials and billing
- Demo plan. The free Demo plan is free forever, limited (currently one active project, one user, watermarked reports) and provided for evaluation and light use. We may adjust its limits on reasonable notice.
- Paid plans. Paid subscriptions are billed in South African Rand, monthly or annually in advance, at the prices shown at the time of purchase. Advertised prices are VAT-inclusive — the 15% VAT is contained in the amount shown, not added to it. Plans are metered on projects per billing month as described on our pricing page. Paid plans are currently arranged with our team rather than bought self-service; we will confirm the plan, price and payment arrangement with you before anything is charged.
- 14-day Professional Demo. A time-limited full-Professional evaluation may be granted at our discretion following an introductory call. When it ends without a purchase, the workspace reverts to the free Demo plan; work you created is retained subject to the Demo plan's limits.
- Renewal and cancellation. Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time; the subscription remains active until the end of the paid period. Except where required by law, fees are non-refundable and unused project allowances do not roll over or convert to refunds.
- Payment. Card payments are processed by our third-party payment provider on their secured pages; we store payment tokens only, never card numbers. Failed payments may lead to a past-due state and, after a grace period, suspension of paid features.
- Price changes. We may change prices with at least 30 days' notice; changes apply from your next billing period.
4. Your data and content
- You retain all rights to the data you upload or create in the Service — demand profiles, tariffs, project details, customer information and generated reports ("Customer Data").
- You grant us a limited licence to host, process and display Customer Data solely to provide and support the Service.
- You are responsible for having a lawful basis to upload any personal information contained in Customer Data (for example your end-customers' details) and for the accuracy of inputs used in analyses.
- We process personal information as described in our Privacy Policy, in accordance with the Protection of Personal Information Act, 2013 (POPIA).
- On termination you may export your data for a reasonable period, after which we may delete it in the ordinary course of operations.
5. Simulation results are estimates
The Service produces engineering and financial estimates — including simulated energy flows, savings, tariffs, payback, IRR and related figures — based on the inputs supplied and stated assumptions. Results depend on data quality, tariff changes, weather, equipment behaviour and other factors outside our control. Outputs are decision-support information, not a guarantee of performance, savings or financial return, and do not constitute financial, tax, legal or engineering advice. You remain responsible for professional review of any design, quote or proposal you present to your customers.
6. Acceptable use
- No unlawful use, infringement of others' rights, or uploading of malicious code.
- No attempts to breach, probe or circumvent security, rate limits or plan limits (including creating multiple free workspaces to evade metering).
- No reselling, sublicensing or offering the Service to third parties as your own service without our written agreement.
- No automated scraping or bulk extraction of the Service's software, other than through features we provide.
7. Intellectual property
The Service — including its software, simulation engine, interfaces, templates and branding — is and remains the property of EnergyOn and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. Feedback you give us may be used to improve the Service without obligation.
8. Availability, support and changes
We aim for high availability but the Service is provided "as is" and "as available"; maintenance windows and occasional interruptions are unavoidable. We may improve or modify features over time, and will not materially reduce the core functionality of a paid plan during a paid period without notice. Support is provided via email and in-app channels during South African business hours.
9. Limitation of liability
To the maximum extent permitted by law (including the Consumer Protection Act where it applies): (a) neither party is liable for indirect, consequential, special or punitive damages, or for loss of profits, revenue or data; and (b) EnergyOn's total aggregate liability arising out of or related to the Service in any 12-month period is limited to the fees you paid for the Service in that period (or R1,000 if you are on a free plan). Nothing in these Terms limits liability that cannot lawfully be limited.
10. Suspension and termination
You may stop using the Service or cancel at any time. We may suspend or terminate access for material breach, non-payment after the grace period, or where required by law — with notice where practicable. Sections that by nature survive termination (including 4, 5, 7 and 9) survive.
11. General
- These Terms are governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction.
- We may update these Terms; material changes will be notified via the Service or email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
- If any provision is unenforceable, the remainder stays in force. These Terms, together with the Privacy Policy and any order/plan details, are the entire agreement.
